GlueX Widget Terms of Use

1. Introduction

These Widget Terms of Use ("Terms") govern the integration, access, and use of the GlueX widget ("Widget") provided by GlueX ("Company," "we," "us," or "our"). By integrating, accessing, or using the Widget, you agree to comply with these Terms. If you do not agree, you may not use the Widget.

2. License Grant and Restrictions

2.1 License

Subject to these Terms, GlueX grants you a limited, non-exclusive, non-transferable, revocable license to integrate and use the Widget solely for lawful purposes in connection with your website or application.

2.2 Restrictions

You shall not:

• Modify, reverse-engineer, or decompile the Widget.
• Use the Widget in a way that violates any applicable law or regulation.
• Remove or alter any branding, trademarks, or disclaimers.
• Use the Widget for fraudulent, misleading, or malicious activities.
• Interfere with the proper functioning of the Widget.
• Frame, resell, distribute, or sublicense the Widget without prior written consent.
• Use the Widget in a manner that suggests an affiliation, endorsement, or sponsorship by GlueX beyond what is permitted.

3. Data Collection and Privacy

By using the Widget, you acknowledge and agree that GlueX may collect and process certain data, including but not limited to:

• Transaction details.
• IP addresses.
• User interaction and activity data.
• Information necessary for fraud detection and regulatory compliance.

Our Privacy Policy governs the collection, use, and protection of this data. You must also ensure that any user data collected through your website or application complies with applicable data protection laws, including GDPR and CCPA.

4. Service Availability and Modifications

4.1 Availability

GlueX does not guarantee continuous availability of the Widget. We may modify, update, suspend, or discontinue the Widget at any time without prior notice.

4.2 Updates

You agree to implement any updates or modifications to the Widget as required by GlueX to maintain security, compliance, and functionality.

5. Compliance and Legal Obligations

5.1 User Responsibility

You are solely responsible for ensuring compliance with all applicable laws and regulations related to your use of the Widget, including but not limited to financial, consumer protection, and data privacy laws.

5.2 Restricted Jurisdictions

You must not use the Widget in any jurisdiction where its use would be illegal or subject to regulatory restrictions, including but not limited to jurisdictions sanctioned by the European Union, the United States Office of Foreign Assets Control (OFAC), or the United Nations.

6. Intellectual Property

6.1 Ownership

GlueX retains all rights, titles, and interests in the Widget, including any updates, modifications, and associated intellectual property.

6.2 No Trademark Rights

These Terms do not grant you any rights to use GlueX’s trademarks, logos, or branding except as explicitly permitted in writing.

7. Indemnification

You agree to indemnify, defend, and hold harmless GlueX, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

• Your use or misuse of the Widget.
• Any violation of these Terms or applicable laws.
• Unauthorized modifications or integrations of the Widget.

8. Disclaimers and Limitation of Liability

8.1 No Warranties

The Widget is provided "as-is" and "as-available" without warranties of any kind, express or implied. GlueX makes no guarantees regarding performance, availability, or accuracy.

8.2 Limitation of Liability

To the maximum extent permitted by law, GlueX shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use or inability to use the Widget, including but not limited to lost profits, data loss, or reputational harm.

9. Termination

GlueX reserves the right to suspend or terminate your access to the Widget at any time if:

• You violate these Terms.
• Required by law or regulatory authorities.
• There is suspected fraudulent or unauthorized activity.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam.
