GlueX API Suite License Agreement

Effective Date: 9 February 2025

1. Introduction

This API Suite License Agreement ("Agreement") governs the access and use of the GlueX APIs ("APIs") provided by GlueX ("Company," "we," "us," or "our"). By accessing or using any of the APIs within the GlueX API suite, you ("Licensee," "you") agree to comply with this Agreement. If you do not agree, you may not access or use the APIs.

2. License Grant

2.1 License

Subject to compliance with this Agreement, GlueX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the APIs solely for lawful purposes and in accordance with this Agreement.

2.2 Restrictions

You shall not:

• Modify, reverse-engineer, or decompile any of the APIs.
• Use the APIs in a manner that violates any applicable law or regulation.
• Exceed rate limits or engage in activities that may disrupt or interfere with GlueX’s services.
• Use the APIs to create or offer a competing service.
• Share, sublicense, or resell API access without prior written consent.
• Circumvent security measures or attempt unauthorized access.

3. API Access and Usage

3.1 Access Credentials

Access to the APIs requires authentication credentials issued by GlueX. You are responsible for maintaining the security of these credentials and must not share them with unauthorized parties.

3.2 Usage Limits

GlueX may impose rate limits and usage restrictions on the APIs. Exceeding these limits may result in suspension or termination of access.

3.3 Modifications to APIs

GlueX reserves the right to update, modify, or discontinue any API within the suite at any time without prior notice. You are responsible for implementing any necessary changes to maintain compatibility.

4. Data Collection and Privacy

By using the APIs, you acknowledge that GlueX may collect and process data, including but not limited to transaction logs, IP addresses, and usage metrics. Our Privacy Policy governs how we collect, use, and protect this data.

5. Compliance and Legal Obligations

You are responsible for ensuring that your use of the APIs complies with all applicable laws and regulations, including but not limited to data protection, financial regulations, and AML/KYC compliance.

6. Intellectual Property

6.1 Ownership

GlueX retains all rights, titles, and interests in the APIs, including any updates, modifications, and associated intellectual property.

6.2 No Trademark Rights

This Agreement does not grant you any rights to use GlueX’s trademarks, logos, or branding without prior written consent.

7. Fees and Payment

7.1 Pricing

GlueX may charge fees for access to the API suite based on usage tiers or subscription plans. Fees are subject to change with notice.

7.2 Payment Terms

Payments are due in accordance with the terms specified in your service agreement or billing plan. Failure to pay may result in suspension or termination of API access.

8. Disclaimers and Limitation of Liability

8.1 No Warranties

The APIs are provided "as-is" and "as-available" without warranties of any kind, express or implied.

8.2 Limitation of Liability

To the maximum extent permitted by law, GlueX shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use or inability to use the APIs.

9. Termination

GlueX reserves the right to suspend or terminate access to any API within the suite if you violate this Agreement or if required by law or regulatory authorities.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam.
